Introduction
Recent New Zealand judicial analysis has failed to capture any significant corporate governance developments. It is therefore necessary to refer to the Australian situation where a wave of corporate collapses has resulted in a significant body of judicial discussion and law. This paper subsequently turns to the collapses of the telecommunications company One.Tel; HIH Insurance Limited; and the James Hardie asbestos corporate restructure to identify some potential issues for New Zealand corporate governance.
Although made within the context of the (Aus) Corporations Act 2001, it needs to be recognised that the similarity of the statutory regimes, and the general desire to improve trans-Tasman uniformity, justifies consideration of the discussed issues under the (NZ) Companies Act 1993.
