What happens when the deal is done, the contract signed – and then it all goes wrong? This seminar will provide practical guidance within the relevant legal framework on how to best position your client when one of the parties wants out of their commercial contract.

Faced with an anxious client wanting advice and action on a problem with a contract, lawyers need to be pragmatic and systematic in their approach. This seminar will take you through the practical steps for lawyers when guiding clients through the options, and provide an update on recent case law.

Introduction

This booklet and the associated seminar and webinar are intended to be practical in nature. The topic could have lent itself to providing an overview of the complete law of contract but we have neither the time to present, nor the dedication to write, such a thesis! There are plenty of good existing texts that provide the necessary overview of key issues and concepts that any practitioner can refer to on a day to day basis: Burrows, Finn and Todd’s Law of Contract in New Zealand1 to name but one.

Even with this proviso, the topic would still be unwieldy if we endeavoured to cover all forms of contract disputes. Our focus will be on the approach applicable when dealing with commercial contracts such as:
  • Sale and purchase agreements for a business;
  • The supply of goods and service;
  • Manufacturing contracts; and
  • Joint ventures.
