A company constitution is a key document that sets out the rules governing the company and the relationship between the company and its shareholders. The constitution is also the only way for a company to access many optional, but often useful, provisions of the Companies Act 1993. This seminar will take a practical approach to help you better understand the need for and importance of a constitution and to tailor constitutions so that they reflect the particular circumstances of your company and are fit for purpose.

This seminar will cover:

  • The role and uses of company constitutions within the statutory framework of the Companies Act
  • An overview of important practical matters such as adoption, amendment and enforcement of a constitution
  • A discussion of which provisions are largely standard template provisions for any company, and which provisions may be varied for the requirements of different types of companies and shareholders
  • A discussion of the interaction between shareholders’ agreements and constitutions and the provisions that would ideally be included in a shareholders’ agreement and not a constitution
  • Case studies of different types of companies and considerations for the drafting and/or negotiation of their constitutions.

Learning objectives

By attending this seminar you will:

  • Understand the role, importance and limitations of constitutions.
  • Gain insight into the key considerations when preparing constitutions for different types of companies and when and how a shareholders’ agreement might be used alongside a constitution.
  • Be better able to advise clients on key things to look out for and consider when investing in an existing company.
  • Get an overview of potential remedies for shareholders where a constitution has not been complied with.

Katie has worked both in New Zealand and internationally on a broad range of corporate and commercial transactions, from listing companies on New Zealand and international exchanges, to advising parties on joint ventures and other day-to-day commercial arrangements. She has particular expertise in capital raising, investments and related shareholder arrangements. Katie is heavily involved in New Zealand’s start-up ecosystem advising both founders and investors, with a focus on impact investment.

Andrew is an experienced corporate and commercial lawyer. He was a corporate partner in leading New Zealand and international firms for 15 years before establishing his own practice upon returning to New Zealand 12 years ago. Andrew has a broad corporate and commercial practice, specialising in mergers and acquisitions, investment transactions, corporate structuring, fund establishment and joint ventures, with a particular focus on high-growth private companies (acting for both the companies and investors).

Cancellation and refund policy

You may cancel your registration eight working days in advance of an event, and you will receive a refund less a 25% administration fee. If you cancel less than eight working days in advance of the event, no refund is payable. If you are unable to attend, you may transfer your registration to another person. If you wish to do so you must advise CLE in writing of the change. NZLS CLE Ltd reserves the right to close registrations and cancel or reschedule an event as necessary. Where an event is cancelled by CLE, a full refund is payable.
