The setting up of shareholders’ agreements, and the discussions which are necessarily a part of deciding their contents, will help your clients consider significant issues at the outset or at key points of the relationship. The current, extremely challenging, environment underlines the importance of providing effective agreements – that are suitable for all weather. This seminar will take a scenario-focused approach to selected key issues (including the impacts of "down rounds" and buy-outs) by combining commercial and litigation perspectives. Drafting options for those key issues will be stress-tested against the problems and potential for disputes that may unfold in practice.

This seminar will include:

  • The key issues which may occur during the lifecycle of a business, when entering into Shareholders’ Agreements
  • Maintaining a Shareholders’ Agreement so that it remains relevant to the business and its owners – as the business develops
  • Shareholders’ Agreements and structures to deal with disputes
  • The impact of change on a business and the effective of the Shareholders’ Agreement to manage that change
  • Protecting the whole business while the stakeholders address the impact (on them) of such issues as "down round" financing
  • Facilitating safe exit by one or more stakeholders
  • Scenarios affecting SMEs in a challenging environment from both a commercial law perspective and a litigation perspective.

Learning objectives

By completing this module you will be able to:

  • Appreciate the drafting of Shareholders’ Agreements that are designed to deal with the lifecycle of a business.
  • Deal with internal disputes between the stakeholders in the business.
  • Advise clients on Shareholders’ Agreements and associated corporate arrangements.
  • Understand the practical approaches and legal remedies when there are tensions between stakeholders as a result of challenges facing the business.
  • Build measures into a Shareholders’ Agreement that are designed to protect the interests of the business and its key stakeholders in all weathers and particularly where there are changes to the business and/or the relationships between stakeholders.
