Presentation time: 120 minutes

Business structuring requires practitioners to really know their clients and what structures will align with their needs in creating real value with tailored advice. In the current challenging and rapidly evolving environment it is more important than ever that you are able to provide your clients with effective advice. This seminar will assist with this process by providing a refresher on the comparative features of common corporate business structures and will have a practical focus in working through case studies in this area.

This seminar will include:

  • An overview of the key legal and tax features of the more common corporate legal structures; including questions to ask the client before recommending a structure
  • Discussion regarding the duties and responsibilities of the governors of the common legal structures (including directors in their role as directors of a corporate trustee and directors of a general partner company)
  • A case study examining innovations in structures for commercial activities where  participants have different tax profiles, including a particular focus on limited partnerships
  • Case study analysis of an incorporated joint venture and also an analysis of an unincorporated joint venture.

Please contact us if you use a dial up internet connection.

It’s a pretty common question asked of all lawyers: “What’s the best structure for my business/venture/this transaction?” And the answer is almost always: it depends – and how much time do you have?

Our legal system has developed a variety of legal forms for commercial operations. They each have advantages and disadvantages – so there’s no one-size-fits-all model. Add into the mix that the different legal forms can be combined in a number of different ways and you often have a recipe for a wide range of potential structuring outcomes in any given scenario.

All of this creates both challenges and opportunities for commercial lawyers. There’s often no obvious right answer so you need to have a really good command of how each structure works. But good advice on structuring can create real value for clients, and gives opportunities to innovate and create.
