Competition Law Reforms Explained - what you need to know

This seminar will cover proposed legislative changes to be introduced to the House in December 2025. These include substantial changes to merger law (including changes to the test for prohibited mergers under s 47 Commerce Act to address serial acquisitions and “killer acquisitions” that strengthen a firm’s market power), the conferral on the Commerce Commission of new “stay and hold” and “call-in” powers and giving the Commission the ability to accept behavioural undertakings.

Other topics will include:

  • Clarification of when price-cutting can be considered to amount to a misuse of market power under the amended s 36 Commerce Act
  • The introduction of a new regime allowing firms to notify certain classes of conduct to the Commission and proceed with such conduct (unless the Commission objects)
  • The conferral on the Commission of a new class exemption power
  • Making the collaborative activity clearance regime simpler and more user friendly
  • Amending the restrictive trade practices provisions of the Act to apply to conduct carried out using Artificial Intelligence or algorithmic tools
  • Changes to the rules about confidentiality of information provided to the Commission.
