The archaic Incorporated Societies Act, after 106 years of duty, is set to be replaced.Lawyers can help their client societies (including societies registered under the Charitable Trusts Act 1957) to be aware of and prepare for the coming reforms, even to help shape those reforms.

The Government has accepted almost all the Law Commission’s Report recommendations for replacement of the 1908 Act. The Minister of Commerce described the Report as “excellent,” saying that it “provides a very strong foundation for the Government to progress much needed law reform that will improve incorporated society performance.” 2015.

To include:

  • the Law Commission’s recommendations
  • proposed changes to societies:
    ‒ minimum content of constitutions
    ‒ governance obligations
    ‒ annual reporting responsibilities
    ‒ members’ complaints and grievance procedures
    ‒ enforcement of statutory requirements
    ‒ terminations, restructures and rescues
  • reform timeline and process.
