Company contracting has a range of challenging aspects that can cause problems down the line, some of which have been the subject of recent case law. This seminar will provide a summary of the basics and go on to update you on current legal issues and developments in this complex area of law.

Topics covered will include:

  • The application of agency law to company contracts
  • The impact of s 18(1) of the Companies Act 1993 on the validity of company contracts
  • Recent New Zealand and Australian case law relating to company contracting (including cases involving reliance by contracting third parties on Companies Office records such as records of directorships)
  • Interested transactions and s 141 Companies Act 1993
  • The impact of equity on corporate transactions, and in particular the remedy of equitable rescission of contracts.

In addition to working on some of New Zealand’s most notable insolvencies and being involved in a range of high profile commercial and insurance-related matters, James has advised many clients interested in digital assets, and regularly represents financiers and suppliers in debt recovery and security enforcement matters.

John specialises in competition law and commercial litigation. He has experience in all aspects of company law, including shareholder disputes, claims of oppression by shareholders, breaches of directors’ duties, directors’ liability insurance, company contracting and company meetings, and the enforcement of rights and remedies arising under the Companies Act 1993. John has taught the Auckland Law School's undergraduate company law course on 14 occasions, and a postgraduate course on one occasion, and has published widely in the fields of company and competition law.

Cancellation and refund policy

You may cancel your registration eight working days in advance of an event, and you will receive a refund less a 25% administration fee. If you cancel less than eight working days in advance of the event, no refund is payable. If you are unable to attend, you may transfer your registration to another person. If you wish to do so you must advise CLE New Zealand Law Society in writing of the change. CLE reserves the right to close registrations, and cancel or reschedule an event as necessary. Where an event is cancelled by CLE, a full refund is payable.
