With the economy under pressure, shareholder disputes are becoming more frequent, and shareholders are increasingly resorting to the courts to protect their interests. Shareholder disputes commonly arise in closely held companies when relationships between the key players break down. But the top end of town is not immune. There has been a marked increase in the deployment of shareholder rights and remedies to challenge corporate governance and decision-making in large companies. Lawyers practising in this space should understand the rights and remedies available to shareholders and be able to provide strategic advice, including identifying the optimal procedural route to resolution in the circumstances.

This seminar will cover:

  • The tools to give strategic advice with reference to key case authorities
  • A specific focus on the two core remedies: prejudiced shareholder claims and derivative actions.

Hannah specialises in commercial litigation, with expertise in insurance, banking and financial, and contractual disputes. She is experienced in acting for both plaintiffs and defendants in high-value, complex litigation in the High Court, Court of Appeal, and in arbitration. With significant experience in insurance law, Hannah acts for insurers, brokers and insureds. She advises on and acts in disputes over material damage and business interruption claims, professional indemnity, marine insurance and carriers’ liability insurance among others. Hannah also acts for financial institutions in debt recovery and enforcement matters.

Zane is an experienced trial and appellate advocate with an established practice in contract and commercial, companies, insurance and regulatory disputes, spanning some three decades. He has appeared as senior counsel in all civil courts in New Zealand and is focussed on delivering commercial outcomes for his clients. Before going to the Bar, Zane was recognised as a Band 1 litigator by Chambers Global and Chambers Asia Pacific, and as a leading individual in dispute resolution by Asia Pacific Legal 500. In 2024, his contributions to the legal field were acknowledged with his appointment to the rank of King’s Counsel.

Cancellation and refund policy

You may cancel your registration eight working days in advance of an event, and you will receive a refund less a 25% administration fee. If you cancel less than eight working days in advance of the event, no refund is payable. If you are unable to attend, you may transfer your registration to another person. If you wish to do so you must advise CLE New Zealand Law Society in writing of the change. CLE reserves the right to close registrations, and cancel or reschedule an event as necessary. Where an event is cancelled by CLE, a full refund is payable.
