A successful company requires effective governance. So what happens when the company and shareholders fall out, or when shareholders no longer see eye to eye? This seminar, which is an update of the popular 2018 session on the same topic, will consider the roles of, and relationships between, a company's board and its shareholders, and explore issues that can arise for both closely and widely held companies when interest diverge and conflicts develop.

This seminar will include:

  • Discussion of the respective roles and responsibilities of the board and shareholders of a company, the relationships between them and who has ultimate say over the company
  • Discussion of schemes of arrangement under the Companies Act 1993 and the dynamics that can arise between the board and shareholders
  • The rise of shareholder class actions and their potential in New Zealand
  • Practical guidance and strategies for dealing with disputes, including shareholder disputes, derivative actions and minority buyouts.

  • Advise knowledgeably on the roles and responsibilities of a company's board and shareholders. 
  • Think ahead to mitigate the risks should interests diverge.
  • Implement strategies for managing conflict and disputes between the board and shareholders.

You may cancel your registration eight working days in advance of an event, and you will receive a refund less a 25% administration fee. If you cancel less than eight working days in advance of the event, no refund is payable. If you are unable to attend, you may transfer your registration to another person. If you wish to do so you must advise CLE in writing of the change. NZLS CLE Ltd reserves the right to close registrations and cancel or reschedule an event as necessary. Where an event is cancelled by CLE, a full refund is payable.
