A company’s constitution is a key document that sets out the rules governing the company and the relationship between the company and its shareholders. The constitution is also the only way for a company to access many optional, but often useful, provisions of the Companies Act 1993. This seminar will take a practical approach to help you to tailor constitutions so that they are future-proof and fit for purpose.

This seminar will include:

  • An overview of the role and uses of company constitutions, within the statutory framework of the Companies Act
  • A discussion of which provisions are largely standard template provisions for any company and which provisions may be varied for the requirements of different types of companies and shareholders
  • A discussion of the interaction between shareholders’ agreement and constitutions and the provisions which would ideally be included in a shareholders’ agreement and not a constitution (and vice versa)
  • Case studies of different types of companies and considerations for the drafting and/or negotiation of their constitutions.

Learning objectives

By attending this seminar you will:

  • Understand the role, importance and limitations of constitutions.
  • Gain an understanding of key provisions that should be included in constitutions for different types of companies.
  • Learn how to review a constitution with a critical eye when acting for a client that is proposing to invest in an existing company.
  • Get an overview of potential remedies for shareholders where a constitution has not been complied with.

Cancellation and refund policy

You may cancel your registration eight working days in advance of an event, and you will receive a refund less a 25% administration fee. If you cancel less than eight working days in advance of the event, no refund is payable. If you are unable to attend, you may transfer your registration to another person. If you wish to do so you must advise CLE in writing of the change. NZLS CLE Ltd reserves the right to close registrations, and, cancel or reschedule an event as necessary. Where an event is cancelled by CLE, a full refund is payable.
