Mergers and acquisitions (M&A) is a broad field ranging from the sale of small businesses to the largest corporate acquisitions. This seminar will help ensure that you are kept abreast of recent developments in the area including, in relation to key M&A concepts, current thematics, reducing risks of claims and managing them when they arise, and competition law considerations.

This seminar will include:

  • Recent legal developments and matters to consider in the sale and purchase agreement

  • An overview of claim management
  • Competition law considerations, including negotiating with a competitor, restraints of trade, and when to seek Commerce Commission clearance.

Marika is a commercial litigation specialist with expertise in companies and securities law, financial services and insurance. She appears as counsel in the courts and in arbitrations in relation to a range of commercial disputes and provides advice on corporate transactions and governance issues to assist her clients to mitigate and manage risk.

Troy specialises in the areas of competition (antitrust), consumer, and regulatory law including joint ventures, competitor collaborations and partnering arrangements, exclusive supply arrangements and Fair Trading Act issues. He has worked on a number of significant Commerce Commission investigations and merger approval processes.

David focuses on M&A, takeovers, private equity, equity capital markets and other corporate transactions. He has extensive experience on public and private company transactions including significant initial public offerings, secondary capital raisings, block trades, takeovers and schemes of arrangement and on corporate governance issues.
