The sale of shares in a business is becoming an increasingly prevalent method of purchase and can be advantageous where flexibility is required, for example, with a gradual or a partial sale of a business. This approach, however, presents significant challenges around clarifying the obligations and potential liabilities that are being assumed, with the need for a thorough due diligence process, coupled with a robust Agreement for Sale & Purchase of shares. The presenters will provide legal and accounting perspectives aimed at helping ensure that you are able to assist your clients to effectively navigate their way through this process whether you are acting for the vendors or the purchasers.

This seminar will include:

  • Practical strategies to best prepare for the sale or purchase of business shares. To include:
    - how you can maximise your value to the process
    - how to effectively find buyers and/or target businesses
    - current leases – how good are these
    - patents/IP
    - financials, including dividends and shareholder current account balances
    - due diligence – risk migration and opportunity
    - valuations
    - risk assessment of business
    - information memorandums
  • Best practical advice for the sale or purchase transactions. Will cover:
    - outline of the sale process
    - acquisition – how the shares will be bought; by other shareholders, management buyout or third party buyer
    - agreements for Sale and Purchase of shares
    - earn outs and vendor finance
    - legal warranties
    - completion
  • The seminar will finish with a discussion of the post transaction. Will address:
    - post transaction funds
    - restraints of trade
    - vendor involvement in the business post transaction
    - tax considerations
    - when acting for the vendor, advising on what to do with the proceeds.
