The process of buying and selling a business can be a stressful time for all the parties concerned and a life changing event for your clients. This practically focussed seminar will provide legal and accounting perspectives which will help ensure that you are able to effectively advise your clients on getting their businesses ready for sale and then on the sale process itself whether you are acting for the vendors or the purchasers.

This seminar will take you through the sale and purchase journey, from start to finish. We will cover:

  • Practical strategies to best prepare for the sale or purchase of a business. To include;
    - How you can maximise your value to the process
    - How to find a buyer and working effectively with a broker
    - Current leases – how good are these
    - Employment and supplier agreements – what are the potential vulnerabilities in these
    - Patents/IP
    - Financials
  • Best practice advice for the sale or purchase transaction. To include;
    - Outline of the sale process
    - Valuations
    - Acquisition – how the business will be bought; outright/MBO
    - Sale & Purchase agreements
    - Due diligence
    - Vendor finance
    - Security
    - Information memorandums
    - Legal warrantees
  • The seminar will finish with a discussion of the post transaction. To include;
    - The windup of the affairs
    - Distribution of proceeds
    - Earn out provisions
    - Tax considerations
    - When acting for the vendor, advising on what they do with the proceeds.
Please note: this session will not cover the sale or purchase of franchises or financial services practices such as law and accounting firms.

Mason is the principal of boutique commercial and property legal practice Lockhart Legal Limited, which he set up in 2008. He has more than 20 years’ professional legal experience advising on a wide range of legal matters.

Mason is a commercial lawyer with a focus on business mergers and acquisitions, and legal advice to a broad range of SMEs. He is passionate about SMEs and assisting clients to achieve great results.
Mason has a strong practical grounding in advising on all aspects of private clients’ personal affairs, including asset protection, estate planning, residential conveyancing and property transactions, wills and estates.

Aaron is a Fellow Chartered Accountant with Bellingham Wallace and his areas of expertise include strategic planning, SME governance, business structuring, mergers and acquisitions, company valuations and due diligence.

He is currently the Vice President of Coastguard NZ, a member of the External Reporting Advisory Panel alongside CAANZ and Chair or a Member of several of his private client’s boards. Aaron’s active governance roles exposes him to sale and purchase advisory assignments on a regular basis.

Cancellation and refund policy

If written notice of cancellation of a registration arrives before the day of the seminar we will refund the registration fee, less an administration fee of $40. If you are unable to attend, you may send a substitute - to correctly assign CPD credit, CLE must be notified in advance. NZLS CLE Ltd reserves the right to cancel or reschedule seminars if necessary.
