A successful company requires effective governance. So what happens when the company and shareholders fall out, or when shareholders no longer see eye to eye? This seminar will consider the roles of and the relationships between a company's board and its shareholders, and explore issues that can arise for both closely and widely held companies when interests diverge and conflicts develop.
This seminar will include:
  • Discussion of the relationship between the board and shareholders of a company, and their respective responsibilities
  • The position in New Zealand in relation to unanimous shareholder assent following the decision in Ririnui v Landcorp Farming
  • Discussion of schemes of arrangement under the Companies Act 1993 and the dynamics that can arise between the board and shareholders
  • Practical guidance and strategies for dealing with disputes, including shareholder disputes, derivative actions and minority buyouts.
