The sale and purchase of a business is generally a matter of significance for clients and it is important that lawyers are able to effectively guide them through the sale and purchase process.

The nature and scope of each transaction, and the lawyer’s role in it, varies from one transaction to another. This module aims to improve your understanding of the key aspects of the sale and purchase process, assist you to ask the right questions of your clients to enable you to give considered and comprehensive advice, whilst equipping you to deal with issues that often arise in the course of a transaction.

Topics covered will include:
  • Initial stages – term sheets, confidentiality and exclusivity
  • Structuring the sale – asset versus share sales
  • The due diligence process
  • Key features of the sale and purchase agreement, including:
    – options for structuring the purchase price payment
    – warranties and indemnities
    – limitations of liability and exclusions
    – employment considerations and restraints of trade
  • Pre-completion matters, including conditions
  • Completion of the transaction.
